By accessing and using matot Solutions' website and services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

2. Description of Services

matot Solutions provides AI-powered MVP (Minimum Viable Product) development services, including but not limited to:

  • Custom software development
  • AI integration and implementation
  • MVP design and development
  • Technical consulting
  • Product strategy and planning

All services are provided subject to availability and in accordance with project agreements.

3. Project Engagement

3.1 Proposals and Agreements

All projects begin with a consultation and proposal. Work will only commence after both parties have signed a formal agreement outlining:

  • Project scope and deliverables
  • Timeline and milestones
  • Payment terms
  • Intellectual property rights
  • Confidentiality provisions

3.2 Client Responsibilities

Clients agree to:

  • Provide timely feedback and approvals
  • Supply necessary materials, information, and access
  • Designate authorized representatives
  • Make payments according to agreed terms
  • Comply with all applicable laws and regulations

4. Payment Terms

Unless otherwise agreed in writing:

  • Payment terms will be specified in the project agreement
  • Typical payment structure: 50% upfront, 50% upon completion
  • Invoices are due within 14 days of issuance
  • Late payments may incur interest charges
  • Work may be suspended for non-payment

5. Intellectual Property Rights

5.1 Client Content

You retain all rights to content, materials, and information you provide to us. By providing such materials, you grant us a license to use them for the purpose of delivering our services.

5.2 Deliverables

Upon full payment, ownership of project deliverables transfers to the client, except for:

  • Pre-existing materials and tools owned by matot Solutions
  • Third-party components and libraries
  • Generic code, frameworks, and methodologies

5.3 Portfolio Rights

Unless otherwise agreed, matot Solutions reserves the right to:

  • Display completed projects in our portfolio
  • Use project descriptions in marketing materials
  • Reference your company as a client (with permission)

6. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation survives termination of the agreement.

Confidential information does not include information that:

  • Is or becomes publicly available without breach of this agreement
  • Was known prior to disclosure
  • Is independently developed
  • Is rightfully obtained from third parties

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that:

  • Services will be performed in a professional manner
  • Deliverables will substantially conform to agreed specifications
  • We have the right to provide the services

7.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Guarantees of specific results or outcomes
  • Uninterrupted or error-free operation

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid for the specific service
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of profits, data, or business opportunities

9. Modifications and Termination

9.1 Project Modifications

Changes to project scope, timeline, or deliverables must be agreed in writing and may result in adjusted fees.

9.2 Termination

Either party may terminate an engagement:

  • For convenience with 14 days' written notice
  • Immediately for material breach
  • Immediately if the other party becomes insolvent

Upon termination, the client pays for all work completed and expenses incurred.

10. Third-Party Services

Our services may integrate third-party tools, APIs, and platforms. Use of these services may be subject to their own terms and conditions. We are not responsible for the availability, functionality, or terms of third-party services.

11. Indemnification

You agree to indemnify and hold harmless matot Solutions from any claims, damages, or expenses arising from:

  • Your use of our services
  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Content or materials you provide

12. Governing Law and Disputes

These Terms are governed by the laws of Hungary. Any disputes shall be resolved through:

  • Good faith negotiation
  • Mediation if negotiation fails
  • The courts of Hungary as a last resort

13. General Provisions

13.1 Entire Agreement

These Terms, together with any project agreement, constitute the entire agreement between the parties.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

13.3 Waiver

Failure to enforce any right does not constitute a waiver of that right.

13.4 Assignment

You may not assign these Terms without our written consent.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
